1. Agreement to terms
By accessing thrivepromedia.com, submitting our contact form, or entering into a working relationship with ThriveProMedia ("we," "us," "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.
These terms apply to all visitors, villa owners, and clients who engage with ThriveProMedia in any capacity.
2. Our service
ThriveProMedia provides a performance-based villa booking system. Our service includes:
- Building a dedicated high-converting landing page for your villa
- Running targeted paid advertising campaigns on Google, Meta, and TikTok
- Managing ad budgets, creative, and optimisation on your behalf
- Filtering inquiries and delivering qualified booking leads to you
- Providing real-time visibility into campaign performance data
We operate on a strictly performance-based model. We do not guarantee a specific number of bookings. We do guarantee that you will not be charged unless confirmed bookings are generated through our campaigns.
3. Commission model
Our compensation is commission-based only. The specific commission rate is agreed between both parties in writing before any campaign begins. No work is initiated without a clear, signed commission agreement in place.
4. Your obligations
To allow us to deliver results, you agree to:
- Provide accurate and complete information about your villa, pricing, availability, and booking conditions
- Respond to qualified inquiries we forward within a reasonable timeframe — we recommend within 24 hours
- Keep your availability calendar up to date and notify us promptly of any changes
- Honour the pricing and terms displayed on the landing page we build for your villa
- Notify us of all confirmed bookings sourced from our campaigns, whether booked through the landing page or via subsequent direct communication
- Pay commission invoices within 14 days of receipt
Failure to disclose confirmed bookings sourced from our campaigns is a material breach of these terms and may result in immediate termination of service and recovery of all owed commission plus applicable penalties.
5. Our obligations
In return, ThriveProMedia commits to:
- Building and maintaining a professional, high-converting landing page for your villa at no cost to you
- Running and optimising paid ad campaigns across all agreed platforms
- Absorbing all advertising costs regardless of campaign outcome
- Filtering inquiries so only serious, qualified leads reach you
- Providing real-time access to campaign performance data
- Communicating transparently about campaign results, challenges, and strategy adjustments
- Never sharing your villa data or performance data with competitors or unauthorised third parties
6. Ad campaigns and creative
All advertising campaigns are created, managed, and funded by ThriveProMedia. We retain full control over campaign strategy, creative direction, bidding, targeting, and optimisation decisions.
We will share campaign performance data with you in real time. You may provide feedback or preferences regarding creative direction, which we will consider at our professional discretion. Final campaign decisions rest with ThriveProMedia.
All ad creative, copy, and landing page content produced by us remains the intellectual property of ThriveProMedia unless otherwise agreed in writing. Upon termination of our agreement, we reserve the right to take down all assets we created on your behalf.
7. Intellectual property
All content on thrivepromedia.com — including text, design, graphics, and code — is the property of ThriveProMedia and is protected by applicable copyright and intellectual property law.
By working with us, you grant ThriveProMedia a non-exclusive licence to use your villa's name, photos, descriptions, and relevant details for the purpose of creating and running your campaigns. This licence ends upon termination of our agreement.
You confirm that any photos or content you provide are owned by you or that you hold the necessary rights to use them in commercial advertising.
8. Confidentiality
Both parties agree to keep confidential any non-public information shared during our working relationship — including pricing strategies, occupancy data, commission rates, campaign performance, and any information marked as confidential.
We will never share your villa's performance data, booking rates, or revenue information with any other villa owner, competitor, or unauthorised third party. Confidentiality is core to how we operate.
Neither party will disclose confidential information to third parties without written consent of the other, except where required by applicable law.
9. Limitation of liability
ThriveProMedia does not guarantee a specific number of bookings, a specific occupancy rate, or a specific revenue outcome. Campaign results depend on market conditions, seasonality, villa pricing, and other factors outside our direct control.
To the maximum extent permitted by law, ThriveProMedia shall not be liable for any indirect, incidental, special, or consequential damages arising from our service — including but not limited to lost revenue, lost bookings, or loss of data.
Our total liability to you in connection with our service shall not exceed the total commission amount paid by you to us in the three months preceding the relevant claim.
10. Termination
Either party may terminate the working agreement with 30 days written notice. During the notice period, both parties continue to honour their obligations under these terms.
Upon termination:
- All active ad campaigns will be paused and then stopped within 30 days
- The dedicated landing page will be taken down at the end of the notice period
- Any outstanding commission on confirmed bookings remains payable in full
- Commission is still owed on bookings made during the notice period
- Commission is still owed on bookings where the guest inquiry originated during the active campaign period, even if confirmed after termination
ThriveProMedia reserves the right to terminate immediately and without notice in the event of material breach — including non-payment of invoices or non-disclosure of confirmed bookings.
11. Disputes
In the event of a dispute, both parties agree to first attempt resolution through direct, good-faith communication. Please contact us at contact@thrivepromedia.com before pursuing any formal action.
If a resolution cannot be reached within 30 days of written notice of the dispute, either party may pursue resolution through the appropriate legal channels in the applicable jurisdiction.
These Terms of Service shall be governed by and construed in accordance with applicable law. Nothing in these terms affects any statutory rights you may hold as a business owner in your jurisdiction.
12. Changes to these terms
We may update these Terms of Service from time to time. When we do, we will update the "last updated" date at the top of this page. For active clients, we will provide notice of any material changes by email before they take effect.
Continued use of our website or service after updated terms are published constitutes your acceptance of those changes.
